Agreement
By engaging NC AI Services ("we," "us," "our"), you agree to these terms. Each project engagement is governed by a written Statement of Work (SOW) that specifies scope, deliverables, timeline, and pricing. These terms apply in addition to any SOW.
Services
NC AI Services provides AI consultancy, business process automation, web presence and AI visibility, brand and creative design, and phygital production services. All services are scoped and priced in a written SOW prior to commencement of work.
Payment
Payment terms are specified in each SOW. Typical terms are 50% deposit upon project start, 50% on delivery. Ongoing monthly services are billed monthly in advance. Late payments may result in work pausing until account is current.
Intellectual property
Upon receipt of final payment, you own all deliverables created specifically for your project (logos, copy, code, designs). We retain the right to display work in our portfolio unless you request confidentiality in writing. Third-party tools, platforms, or assets licensed for your use remain subject to their own terms.
Confidentiality
We treat your business information, processes, and data as confidential. We will not disclose your business details to third parties without your consent, except as required to deliver the service (e.g., working with a print vendor on a design file).
Revisions and scope
Each project SOW specifies the number of included revision rounds. Requests beyond the agreed scope will be quoted separately before additional work begins. We will always tell you before doing out-of-scope work.
Limitation of liability
Our liability is limited to the amount paid for the specific project or service giving rise to the claim. We are not liable for lost profits, indirect damages, or consequential damages. AI tools and systems we implement may produce outputs that require human review — client is responsible for reviewing and approving AI-generated content before use.
Termination
Either party may terminate a project engagement with 14 days written notice. You are responsible for payment of work completed through the termination date. Deposits are non-refundable once project work has begun.
Governing law
These terms are governed by the laws of the State of North Carolina. Any disputes will be resolved in Carteret County, NC courts.
